The registered office of a company is its official address recorded with the Ministry of Corporate Affairs (MCA). It is the primary location where all official communications, notices, and legal documents are sent. Any change in this address must be properly reported to the ROC as per the Companies Act, 2013.
A change in registered office may occur due to business expansion, relocation, cost efficiency, or operational convenience. Since it is a statutory requirement, proper approval and filing procedures must be followed.
The change of registered office can be classified into the following categories:
Change of address within the same local jurisdiction.
Change of office within the same state but under the same Registrar of Companies.
Applicable in states having more than one ROC office.
Requires central government approval and alteration in Memorandum of Association (MOA).
The Board of Directors must approve the proposal for shifting the registered office.
In case of inter-state or jurisdictional changes, a special resolution must be passed.
Necessary forms and resolutions are filed with the Registrar of Companies.
For inter-state shift, approval from Regional Director (RD) or Central Government is required.
Once approved, MCA updates the company’s registered office details in its records.
