A Director Identification Number (DIN) is a unique number issued to individuals who act as directors in a company. While DIN is generally valid for a lifetime, there are certain situations where it may need to be surrendered or cancelled.
DIN surrender refers to the process of voluntarily giving up or cancelling a DIN when it is no longer required or when it has been allotted in error. This helps maintain accurate records with the Ministry of Corporate Affairs (MCA) and prevents misuse or duplication.
An individual can apply for surrender of DIN under the following circumstances:
Duplicate DIN: If more than one DIN has been allotted to the same person
DIN Not Used: If the DIN was obtained but never used for any company or LLP
Wrong Allotment: If DIN was issued based on incorrect or misleading information
Voluntary Surrender: If the individual no longer intends to act as a director
DIN can only be surrendered if it has never been used for filing any documents with MCA
If the DIN has been used, it cannot be surrendered, but it may be deactivated in certain cases
In case of duplicate DINs, only one DIN is retained and the others must be surrendered
The following documents are generally required:
Application in Form DIR-5
Identity proof (PAN Card / Passport)
Address proof (Aadhaar / Voter ID / Utility Bill)
Declaration stating the reason for surrender
Affidavit confirming that the DIN has not been used (if applicable)
Fill and prepare Form DIR-5 with the correct details and reason for surrender.
Upload all necessary identity, address proof, and declarations.
The form must be digitally signed using a valid Digital Signature Certificate (DSC).
Submit the form online through the MCA portal.
The authorities will verify the application and supporting documents.
If satisfied, the MCA will approve the request and cancel the DIN.
Only one DIN per individual is allowed under law
Surrendering unused or duplicate DINs avoids legal complications
Incorrect or multiple DINs may attract penalties if not rectified
Once surrendered, the DIN cannot be reactivated
Surrender: Voluntary cancellation initiated by the individual
Deactivation: Done by authorities due to non-compliance (e.g., non-filing of KYC)
Keeps MCA records clean and accurate
Avoids penalties for holding multiple DINs
Prevents misuse of unused identification
Ensures compliance with company law provisions
