MSME Form refers to the compliance requirement introduced for companies that receive goods or services from Micro, Small, and Medium Enterprises (MSMEs) and have outstanding payments beyond the prescribed time limit. This form is filed with the Ministry of Corporate Affairs (MCA) to ensure timely payment to MSME vendors and promote financial discipline in business transactions.
The objective of MSME Form filing is to protect MSME suppliers from delayed payments and improve cash flow in the MSME ecosystem.
MSME Form is a half-yearly return that companies must file to report:
Outstanding payments to MSME vendors
Delays beyond the statutory payment timeline
Details of invoices unpaid for more than 45 days
It is primarily applicable to companies (not LLPs or proprietorships) that purchase goods or services from registered MSMEs.
The MSME Form ensures:
Timely payment to MSME suppliers
Transparency in corporate payment practices
Reduction in payment disputes
Compliance with MSME Development Act provisions
Better financial discipline among companies
A company must file MSME Form if:
It has outstanding dues to MSME vendors for more than 45 days
It has received goods or services from suppliers registered under MSME
It is a registered company under the Companies Act
This form is not required if there are no delayed payments to MSMEs during the reporting period.
Filed once as an initial disclosure
Reports pending payments to MSMEs as of the date of notification
Filed twice every year
Covers outstanding MSME payments for each half-year period
MSME Form II is filed twice a year:
For April–September period: Due by 31st October
For October–March period: Due by 30th April

The MSME Form typically includes:

MSME supplier details (name, PAN, UDYAM registration)
Invoice details and due dates
Amount outstanding
